Acceptance of Terms
These Terms & Conditions govern your access to and use of the Platfora platform, including all associated services, tools, and features (collectively, the "Platform"). By creating an account or ticking the agreement checkbox during signup, you confirm that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Platform.
1. About Platfora
Platfora is a commercial platform built for the global textile and surface design industry. It connects design studios, independent artists, and print agents through branded digital showrooms, enabling studios to present and sell their collections to buyers and agents in a professional, curated environment.

2. Data Separation
Platfora operates an agent account on its own platform for the purposes of facilitating sales and representing studios. This account is subject to exactly the same access permissions and platform rules as all other registered agents.
We are committed to operating Platfora as a neutral, fair commercial infrastructure. The following rules apply without exception:

Platfora’s agent account on the Platform is subject to exactly the same access permissions and platform rules as all other registered agents.

Platfora does not access, view, share, or use any studio design catalogue, buyer data, sales data, or business information for any commercial purpose outside of operating and supporting the Platform itself.

Studio design files, buyer lists, wishlist data, and transaction records are accessible only to the relevant account holder and any agents they have explicitly nominated through the Platform.

No studio's commercial data is visible to any other studio, agent, or the platform operator beyond what is required for the platform to function.
Any concern regarding platform data access or operator conduct can be raised at support@platfora.co and will be addressed in writing within 5 business days.
3. Eligibility & Account Registration
To use the Platform you must:

Be operating as a business or sole trader in the textile, surface design, or print industry

Provide accurate and complete registration information

Maintain the security of your account credentials
You are responsible for all activity that occurs under your account. Notify us immediately at support@platfora.co if you suspect unauthorised access.
4. User Types
4.1 Studios & Artists
Studios and independent artists subscribe to Platfora to create and maintain a branded digital showroom where they can upload design collections, manage their catalogue, connect with agents, and sell to buyers.
4.2 Agents
Professional print agents subscribe to Platfora on The Agency plan. Agents access connected studio showrooms, manage their client portfolio, track commissions, and facilitate buyer connections through a dedicated multi-studio dashboard.
4.3 Buyers
Buyers register for free accounts to browse studio showrooms, create wishlists, save designs, and make purchases. Buyer accounts are required for secure access and transaction management.
5. Subscription Plans & Pricing
5.1 Available Plans
Platfora offers the following subscription plans for studios and artists:

The Sketchbook — up to 100 live designs

The Lookbook — up to 500 live designs

The Showroom — unlimited designs

The Agency — agent-specific plan
Current pricing is listed on the Plans & Pricing page at platfora.co/plans-pricing. All prices are displayed in USD with AUD, GBP, and EUR available. Final billing currency is determined at checkout based on your Stripe preference currency.
5.2 Free Trial
New studio, artist and agent accounts are eligible for a 60-day free trial. Payment details are required to begin the trial. You will not be charged until the trial period ends. You may cancel at any time during the trial without charge.
5.3 Billing
Subscriptions are billed monthly or annually in advance. Payment is processed via Stripe. By subscribing, you authorise Platfora to charge your nominated payment method on a recurring basis.
5.4 Annual Plans
Annual subscriptions are charged in full at the time of purchase. Annual plans are non-refundable for the current subscription year, except where required by applicable law
5.5 Monthly Plans
Monthly subscriptions may be cancelled at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months, except where required by applicable law.
5.6 Price Changes
Platfora reserves the right to change subscription pricing. We will provide at least 30 days' written notice via email before any price change takes effect for existing subscribers.
6. Cancellation & Account Suspension
6.1 Cancellation by You
You may cancel your subscription at any time from your Billing page inside your dashboard.

Monthly plans: access continues to the end of the current billing period, then your showroom is deactivated.

Annual plans: access continues to the end of the current subscription year, then your showroom is deactivated. No refund is issued for the remaining period.
6.2 Data Retention After Cancellation
Following cancellation, your account data and design catalogue will be retained for 60 days. During this period you may reactivate your subscription and restore your showroom. After 60 days, account data may be permanently deleted.
6.3 Suspension by Platfora
Platfora reserves the right to suspend or terminate your account immediately if you:

Provide false or misleading registration information

Use the Platform for unlawful purposes

Upload content that infringes third-party intellectual property

Engage in conduct that is harmful to other users or the Platform
Where practical, we will provide written notice and an opportunity to remedy the breach before suspension.
7. Intellectual Property & Design Ownership
You retain full ownership of all design files, artwork, and creative content you upload to the Platform. Platfora does not claim any ownership rights over your designs.
By uploading content to the Platform, you grant Platfora a limited, non-exclusive licence to display, reproduce, and transmit your content solely for the purposes of operating your showroom and providing the Platform services. This licence ends when you remove the content or close your account.
You represent and warrant that you own or have the right to use all content you upload, and that it does not infringe the intellectual property rights of any third party. You are solely responsible for any claims arising from content you upload.
8. Platform Rules & Acceptable Use
You agree not to:

Upload designs, images, or content that infringes copyright, trademarks, or other intellectual property rights

Use the Platform to distribute spam, malware, or unsolicited communications

Attempt to access other users' accounts or data without authorisation

Scrape, copy, or systematically extract Platform data

Resell or sublicence access to the Platform without written permission

Use the Platform in any way that violates applicable law

Misrepresent your identity, studio, or the origin of your designs
9. The Platfora Marketplace Model
Platfora is not a shared marketplace. Each studio has its own independent, branded showroom. Your designs are not pooled into a collective catalogue visible to all buyers. Your catalogue is your showroom - curated, controlled, and exclusive to your account.
Buyers access studio showrooms by direct link, agent referral, or platform discovery. No studio's designs are displayed alongside or mixed with another studio's collection without explicit permission.
10. Agent Relationships
Studios may connect with registered agents through the Platform. When you have been connected with an agent by our development team:

The agent gains access to view your showroom and represent your catalogue to buyers

Commission arrangements are agreed directly between the studio and the agent — Platfora is not a party to commission agreements

Platfora does not deduct, collect, or take any commission from studios or agents.

You may disconnect from an agent at any time through your account settings
Studios are responsible for verifying the suitability of agents they choose to connect with. Platfora does not guarantee the performance of any agent.
11. Buyer Transactions
Platfora integrates with Stripe to enable studios to connect their own Stripe account and receive payments directly from buyers. Platfora facilitates the setup and connection of this integration but is not a party to payment transactions. All funds from buyer purchases pass directly between the buyer and the studio’s own Stripe account. Platfora does not hold, process, or have access to funds at any point in the transaction.
Stripe’s standard payment processing fees apply to all transactions and are charged by Stripe directly. Studios are responsible for understanding and agreeing to Stripe’s terms of service before connecting their account. Platfora does not charge any additional transaction or processing fees. Studios are responsible for fulfilling design delivery in accordance with any terms agreed with the buyer.
12. Limitation of Liability
To the fullest extent permitted by law:

Platfora provides the Platform on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free service.

Platfora is not liable for any indirect, incidental, consequential, or special damages arising from your use of or inability to use the Platform.

Our total liability to you for any claim arising from these Terms shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any liability that cannot be excluded by law.
13. Warranties & Representations
Platfora is provided as a commercial platform in good faith. We work hard to ensure it functions reliably and delivers real commercial value to the studios, artists, and agents who use it. That said, we can't guarantee specific commercial outcomes. Sales depend on the quality of your work, the strength of your relationships with buyers and agents, and market conditions outside our control.
By using the Platform you acknowledge that Platfora is a tool to support your commercial operation — not a guarantee of it.
We do not warrant that all buyers or agents on the Platform are known commercial entities, and we encourage studios to apply the same due diligence they would in any commercial relationship.
14. Third-Party Services
The Platform integrates with third-party services including Stripe (payment processing), Amazon Web Services (hosting), and Twilio SendGrid (email). Your use of these services is also subject to their respective terms of service. Platfora is not responsible for the conduct or availability of third-party services.
15. Privacy
Your use of the Platform is also governed by our Privacy Policy, available at platfora.co/privacy-policy. By agreeing to these Terms, you also acknowledge and accept our Privacy Policy.
16. Changes to These Terms
Platfora reserves the right to update these Terms at any time. Where changes are material, we will provide at least 14 days' written notice via email before the changes take effect. Continued use of the Platform after that date constitutes acceptance of the updated Terms.
The current version of these Terms is always available at platfora.co/terms-and-conditions.
17. Governing Law & Disputes
These Terms are governed by the laws of Queensland, Australia. Any dispute arising from these Terms or your use of the Platform that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of Queensland, Australia.
Before initiating formal proceedings, both parties agree to make a genuine effort to resolve disputes through written communication within 30 days.
